Registration o business in Kenya has been simplified from the amendment of the Company’s ACT and the subsequent implementation of technology through the ecitizen portal. Registering a company in Kenya is now more efficient, you can register a company, register a partnership or register a sole proprietorship.

  • Partnership
  • Sole Proprietorship

The significant difference between these business classifications is in the composition of the owners and the liability to the business.

On the other hand, a partnership is a business where the owners are a group of partners with a common objective. It has unlimited liability; however the new Company’s Act provides for registration of a partnership with limited liability.

Finally, a Company is a business owned by a group of shareholders, and it has limited liability. A company shareholders usually elect directors who run the operations of the company, the new company’s ACT now allows an individual to register a company from a minimum age of 18 years.

To register either a company one is required to lodge the following documents with the Company Register (Checklist items for registration of a company) :

  1. CR1, Application for registration of a Limited company.
  2. CR2, Company’s Memorandum.
  3. CR8, Notice of Residential address of the directors.
  4. Statement of Nominal Capital.
