You can register a business in Kenya as either:
To register the business, you must first have to reserve the name you intend to use for your business. Name reservations can be done from the ecitizen account.
The name has to be a unique name that is not similar to existing business otherwise it will be rejected
Sole Proprietorship
A sole proprietorship is a business that is registered by an individual person, its wholly owned by one person. A sole proprietorship business is registered as a business name.
Business Name is not a legal entity. It simply refers to a person who owns the business and is personally responsible for its debts.
To register for a sole proprietorship the following documents are requires;
- National ID
- Copy of KRA Pin
- Passport Photograph
- Fill Form BN2
Partnership
This is a business owned by more than one person and is not a legal entity. A partnership deed is drawn as the document bidding all the partners, it describes the nature of the partnership including the profit/ loss sharing ratio.
To register a partnership the following documents are required:
- Copies of Partners National ID
- Copies of Partners KRA Pins
- Copies of Partners Passport Photographs
- A Partnership deed.
Local Company
This is a business which is a legal entity and has a limited liability.
To register a local company the following documents are required;
- company registration form CR1
- Details of directors and shareholders; copies of I.D. card/passport, KRA PIN certificate and recent coloured passport photograph.
- List of shareholding details.
- A notification of directors’ residential address – Form CR8.
- Statement of nominal capital.
- Copy of Articles of Association
Foreign Company
A company that is already registered in a foreign company ad would want to establish business in Kenya can register as either a branch company or a subsidiary.
The following documents are required;
- Certified copies of the parent Company’s Certificate of Incorporation
- Certified copies of the Charter, Statutes or Memorandum and Articles of Association of the parent Company
- List of the Directors of the Parent Company giving the following particulars: Full Names, Postal address, Nationality and Business Occupation
- Name(s) and Postal Address of one or more persons resident in Kenya authorized to accept service on behalf of the company.
- Full address of the Registered or Principal office of the parent company.
- Full address of the place of Business in Kenya.
- If the process is successful you will be issued with a Compliance Certificate.
